Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by PermitsDone LLC ("PermitsDone," "we," "us," or "our") through our website at permitsdone.com and any related platforms (collectively, the "Platform"). By creating an account or using any part of our Platform, you ("Contractor" or "you") agree to be bound by these Terms.
If you do not agree, do not create an account or use the Platform.
1. Definitions
"AHJ" means the Authority Having Jurisdiction -- the governmental body responsible for enforcing applicable building codes. For permits filed under these Terms, the primary AHJ is Tarrant County, Texas (see https://www.tarrantcountytx.gov/en/engineering-services/permits.html), though we may file in other DFW-area jurisdictions as our service area expands.
"Application" means the permit application, supporting documents, and associated fees submitted to an AHJ on your behalf through our Platform.
"Contractor" means the licensed roofing or solar contractor who creates an account and uses the Platform. PermitsDone does not provide services to property owners directly.
"Fees" means the flat fee charged by PermitsDone for each permit filing, as listed on the Platform at the time of submission.
"Filing" means the act of submitting a completed Application to the AHJ on your behalf.
"Owner Authorization" means the signed consent form obtained from a property owner authorizing the scope of work and permit application.
"PE-Stamped Application" means a permit application that requires a Professional Engineer's stamp, which we facilitate through our third-party engineering partner, PTOEDGE.
"Permit" means the official approval document issued by the AHJ authorizing the described scope of work.
"Platform" means the PermitsDone website, software, and related tools accessible at permitsdone.com.
"Project" means a single permit filing request submitted by a Contractor through the Platform.
2. Service Description
2.1 What We Do
PermitsDone provides a technology-enabled permit-filing service. Specifically, we:
- Accept your Project submissions via the Platform, including property information, scope of work, Owner Authorization, contractor license details, and supporting documents.
- Prepare and submit Applications to the AHJ on your behalf using automated tools and, where required, human review.
- Pay AHJ filing fees on your behalf (included in or added to our Fees, as disclosed at checkout).
- Communicate with the AHJ during the intake and processing phase as needed.
- When a project requires a PE-stamped application, forward the necessary documents to PTOEDGE (our third-party PE) and coordinate return of the stamped application to the AHJ.
- Notify you by email when a Permit is issued or when the AHJ requests additional information.
2.2 What We Do Not Do
PermitsDone is a filing agent, not a contractor, engineer, or legal representative. We do not:
- Perform, supervise, or contract for any physical roofing, construction, or solar installation work.
- Guarantee that any Application will be approved or that any Permit will be issued.
- Provide engineering, architectural, or legal advice.
- Represent you before the AHJ in any formal administrative proceeding, appeal, or dispute beyond standard application intake.
- Verify or certify the accuracy or legality of the scope of work you describe.
- Ensure your compliance with local building codes, HOA rules, or deed restrictions.
- Guarantee any specific timeline for AHJ review or Permit issuance.
3. Account Registration and Accuracy Requirements
3.1 Eligibility
You must be at least 18 years old and hold a valid roofing or solar contractor license in the applicable jurisdiction to create an account and use the Platform.
3.2 Account Information
When registering, you must provide accurate, complete, and current information including your legal name, business name, business address, license number, email address, and phone number. You agree to update this information promptly if it changes.
3.3 Credentials
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@permitsdone.com if you suspect unauthorized access to your account. We are not liable for any loss caused by unauthorized use of your account.
3.4 One Account Per Entity
Each business entity may maintain one account unless we expressly authorize otherwise in writing.
4. Fees, Payment, and Refunds
4.1 Fees
Current pricing is displayed on the Platform before you submit each Project. Fees are quoted as flat rates per filing type. We reserve the right to change Fees with at least 14 days' notice. Fee changes do not apply to Projects submitted before the effective date of the change.
4.2 AHJ Fees
AHJ permit fees are separate from our service Fees. We will disclose whether AHJ fees are included in our quoted Fee or charged separately. Where AHJ fees are charged separately, we will collect an estimate at checkout and reconcile any overage or shortfall within 30 days of Filing.
4.3 Payment Processing
All payments are processed through Stripe, Inc. By providing your payment details, you authorize Stripe to charge your card or payment method on our behalf. We do not store full card numbers. Your use of Stripe is also subject to Stripe's Terms of Service.
4.4 Refund Policy
- Before Filing: If you cancel a Project before we have submitted the Application to the AHJ, you are entitled to a refund of our service Fee, minus any payment processing fees charged by Stripe (typically 2.9% + $0.30 per transaction). AHJ fees that have already been paid to the AHJ are non-refundable.
- After Filing: Once we have submitted your Application to the AHJ, all service Fees are non-refundable, regardless of whether the Permit is approved, denied, withdrawn, or abandoned.
- Duplicate Submissions: If we make a duplicate submission through our error, we will refund the Fee for the duplicate at no deduction.
To request a refund, email hello@permitsdone.com with your Project ID and the reason for the request.
5. Contractor Obligations
5.1 Accurate Data
You represent and warrant that all information you submit through the Platform is accurate, complete, and not misleading. This includes property addresses, owner names, contact information, scope of work descriptions, and uploaded documents.
5.2 Valid License
You represent and warrant that you hold and will maintain a valid contractor license in good standing in the jurisdiction where each Project is filed, and that your license is appropriate for the scope of work described in each Application.
5.3 Owner Consent
You represent and warrant that you have obtained written, informed authorization from the property owner prior to submitting any Project. You are responsible for using the Owner Authorization template we provide or an equivalent that meets AHJ requirements. You must retain signed Owner Authorizations for your records and make them available to us or the AHJ upon request.
5.4 Permit Fee Responsibility
You are ultimately responsible for all AHJ permit fees associated with your Projects, regardless of the payment mechanism used by PermitsDone.
5.5 Post-Issuance Compliance
After a Permit is issued, you are solely responsible for: conducting work within the permitted scope; scheduling and passing required inspections; maintaining the Permit on-site as required; and closing out the Permit with the AHJ upon completion.
6. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. The specific prohibitions listed in our Acceptable Use Policy (incorporated here by reference) apply, including but not limited to: submitting fraudulent Applications, filing permits for properties where you lack authorization, misrepresenting the scope of work, and abusing or attempting to circumvent our automated systems.

7. Disclaimers
7.1 No Guarantee of Approval
WE DO NOT GUARANTEE THAT ANY APPLICATION WILL BE APPROVED OR THAT ANY PERMIT WILL BE ISSUED. Permit approval is at the sole discretion of the AHJ. We are not responsible for AHJ denials, requests for additional information, code interpretation disputes, or any other AHJ action or inaction.
7.2 AHJ Delays
We are not responsible for delays caused by the AHJ, including processing backlogs, staffing shortages, system outages, or changes in AHJ procedures.
7.3 No Legal or Engineering Advice
Nothing on the Platform or in any communication from PermitsDone constitutes legal, engineering, construction, or code compliance advice.
7.4 Platform Availability
The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or secure. We may take the Platform offline for maintenance with or without notice.
7.5 Third-Party Services
We are not responsible for the acts or omissions of third parties, including but not limited to Tarrant County AHJ, PTOEDGE, Stripe, Supabase, or any other third-party service provider.
7.6 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, weather, government shutdowns, pandemics, labor disputes, or internet outages.
8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
8.1 IN NO EVENT WILL PERMITSDONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 PERMITSDONE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO PERMITSDONE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Indemnification

You agree to defend, indemnify, and hold harmless PermitsDone, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) your breach of any representation, warranty, or obligation in these Terms; (b) the inaccuracy or incompleteness of any information or documents you submit through the Platform; (c) your failure to obtain or maintain valid contractor licenses; (d) your failure to obtain proper Owner Authorization; (e) any claim by a property owner or third party arising from the scope of work you performed; (f) your violation of any applicable law or regulation; or (g) your violation of these Terms or the Acceptable Use Policy.
10. Termination
10.1 Termination by You
You may close your account at any time by contacting hello@permitsdone.com. Termination does not entitle you to refunds for Fees already charged, except as set forth in Section 4.4.
10.2 Termination by Us
We may suspend or terminate your account, with or without notice, if:
(a) you breach these Terms or the Acceptable Use Policy; (b) we reasonably believe your use of the Platform poses a risk of fraud, legal exposure, or harm to PermitsDone, the AHJ, or third parties; (c) you provide false or misleading information; (d) you fail to pay amounts owed; or (e) we discontinue the Platform or a portion thereof.
10.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy. Projects already in progress at the time of termination will be handled in our reasonable discretion -- we will notify you of the status.
10.4 Survival
Sections 1, 4.4, 7, 8, 9, 10.3, 10.4, 11, 12, and 13 survive any termination or expiration of these Terms.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Subject to the arbitration provisions in Section 12, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of those courts.
12. Dispute Resolution and Arbitration

12.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact us at hello@permitsdone.com and provide a written description of the dispute and desired resolution. We will attempt to resolve the dispute informally within 30 days.
12.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform -- including questions of arbitrability -- will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by these Terms. The arbitration will be conducted in Tarrant County, Texas, or by videoconference if both parties agree. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.3 Small Claims Court Carve-Out

Either party may bring an individual claim in a Texas Justice Court (small claims court) for disputes within that court's jurisdictional limit, provided the claim is not part of a class, consolidated, or representative action.
12.4 Class Action Waiver

YOU AND PERMITSDONE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
12.5 Injunctive Relief
Notwithstanding Section 12.2, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
13. Changes to These Terms
We may update these Terms at any time. If we make material changes, we will notify you by email to the address on file and/or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform before the effective date.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and PermitsDone regarding the Platform and supersede all prior agreements.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
14.5 Notices
Legal notices to PermitsDone must be sent to hello@permitsdone.com. We will send notices to the email address associated with your account.
